1. INTRODUCTION
These Terms of Service ("Terms") govern your access to and use of the Uru platform, including the mobile application, website, and related services (collectively, the "Platform"), operated by Seagreen Media Limited ("Company", "we", "us", or "our").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

3. NATURE OF THE PLATFORM
Uru is a technology platform that:
ā— Connects consumers with independent businesses ("Vendors")
ā— Facilitates the listing, discovery, and booking of services
ā— Enables purchase of goods
ā— Supports communication between Users and Vendors
ā— Integrates with third-party payment processors and logistics providers
Important:
Seagreen Media Limited is not a seller, service provider, or logistics provider.
We act solely as an intermediary platform.
4. ELIGIBILITY
You must:
ā— Be at least 18 years old
ā— Provide accurate and complete information
ā— Have the legal capacity to enter into binding agreements
We reserve the right to suspend or terminate accounts that violate these conditions.
5. USER ACCOUNTS
You agree to:
ā— Maintain confidentiality of login credentials
ā— Be responsible for all activities under your account
ā— Notify us immediately of unauthorized access
We may suspend or terminate accounts for:
ā— Fraudulent activity
ā— Breach of these Terms
ā— Misuse of the Platform
6. MARKETPLACE TERMS
6.1 Role of Vendors
Vendors are independent third parties responsible for:
ā— Product quality and accuracy
ā— Service delivery
ā— Pricing and availability
6.2 No Warranty on Vendor Offerings
We do not guarantee:
ā— Quality, safety, or legality of products/services
ā— Accuracy of listings
ā— Vendor performance
6.3 User Responsibility
Users agree to:
ā— Review vendor details before transacting
ā— Use discretion when engaging vendors
7. BOOKINGS AND APPOINTMENTS
ā— Bookings are made directly between Users and Vendors via the Platform
ā— Vendors are responsible for fulfilling booked services
ā— Cancellation and rescheduling policies may vary by Vendor
The Company is not liable for:
ā— Missed appointments
ā— Service dissatisfaction
ā— Vendor cancellations
8. ORDERS, PAYMENTS, AND FEES
8.1 Payments
Payments are processed through third-party providers such as Paystack.
We do not store financial details.
8.2 Pricing
ā— Prices are set by Vendors
ā— We are not responsible for pricing errors
8.3 Platform Fees
We may charge service fees, which will be disclosed prior to payment.
8.4 Refunds
Refunds are subject to:
ā— Vendor policies
ā— Payment provider rules
We do not guarantee refunds unless required by law.
9. DELIVERY AND LOGISTICS
Delivery services are provided by third-party logistics partners, including:
ā— Terminal Africa
ā— Sendbox
ā— Konga Logistics
9.1 Role of the Company
We:
ā— Facilitate coordination between Users, Vendors, and logistics providers
We do not:
ā— Own delivery infrastructure
ā— Control delivery timelines
ā— Guarantee delivery outcomes
9.2 Limitation on Delivery Liability
We are not liable for:
ā— Delays
ā— Lost or damaged goods
ā— Actions or omissions of logistics providers
10. USER CONDUCT
You agree not to:
ā— Use the Platform for unlawful purposes
ā— Engage in fraud or misrepresentation
ā— Harass or abuse other users
ā— Interfere with platform functionality
Violation may result in account suspension or legal action.
11. INTELLECTUAL PROPERTY
All Platform content, including:
ā— Logos
ā— Design
ā— Software
is owned by Seagreen Media Limited or its licensors.
Users may not:
ā— Copy, reproduce, or distribute content without permission
12. COMMUNICATIONS
By using the Platform, you consent to receive:
ā— Transactional messages
ā— Service-related notifications
ā— Marketing communications (where applicable)
13. DISCLAIMERS
The Platform is provided "as is" and "as available".
We make no warranties regarding:
ā— Platform availability
ā— Accuracy of content
ā— Vendor performance
14. LIMITATION OF LIABILITY
To the fullest extent permitted by Nigerian law:
Seagreen Media Limited shall not be liable for:
ā— Indirect, incidental, or consequential damages
ā— Loss of profits, data, or business opportunities
ā— Issues arising from Vendor or logistics services
Our total liability shall not exceed:
ā— The amount paid by the User for the specific transaction
15. INDEMNIFICATION
You agree to indemnify and hold harmless Seagreen Media Limited from any claims arising from:
ā— Your use of the Platform
ā— Your violation of these Terms
ā— Your interactions with Vendors or third parties
16. TERMINATION
We may suspend or terminate access:
ā— For breach of these Terms
ā— For legal or regulatory reasons
ā— At our discretion where necessary
Users may stop using the Platform at any time.
17. PRIVACY
Your use of the Platform is also governed by our Privacy Policy.
18. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the Federal Republic of Nigeria.
18.1 Dispute Resolution
ā— Parties shall first attempt amicable resolution
ā— If unresolved, disputes shall be subject to the jurisdiction of Nigerian courts
19. FORCE MAJEURE
We shall not be liable for failure or delay due to:
ā— Acts of God
ā— Government actions
ā— Network or infrastructure failures
ā— Events beyond our reasonable control
20. CHANGES TO TERMS
We may update these Terms at any time.
Continued use of the Platform constitutes acceptance of updated Terms.
